Acceptance of terms
These Terms of Service (“Terms”) govern your access to and use of EvalOps, including the EvalOps
platform, APIs, Community Edition CLI, and related services (collectively, the “Services”). By accessing
or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization,
you represent that you have authority to bind that organization.
Accounts & eligibility
You must be at least 18 years old to use the Services. You are responsible for maintaining the
confidentiality of your account credentials and for all activity occurring under your account. Notify us immediately
of any unauthorized use.
Customer data & telemetry
“Customer Data” includes telemetry, prompts, outputs, and metadata you (or your users) transmit to EvalOps.
You retain all rights to Customer Data. We process Customer Data only to provide and improve the Services, to comply
with legal obligations, or as otherwise authorized by you. See the [Privacy Policy](/privacy) for details on data handling.
Acceptable use
You agree not to:
- use the Services in violation of any applicable law or regulation;
- interfere with the integrity or performance of the Services;
- attempt to gain unauthorized access to the Services or related systems;
- send malware, spam, or infringing content through the Services.
We may suspend or terminate access for violations.
Subscriptions & payment
subscription terms, fees, and payment schedules will be defined in a separate Order Form or agreement.
Unless otherwise specified, fees are non-refundable. Late payments may result in suspension of access.
Service levels & support
Service level commitments, including uptime targets and support response times, are defined in the applicable
subscription plan (e.g., Professional, Enterprise, Private Cloud). See the [Support center](/support) for details.
Confidentiality
Each party agrees to protect the other party’s confidential information with the same degree of care it uses for its
own confidential information, and not to disclose or use it for purposes other than fulfilling these Terms.
Intellectual property
EvalOps owns all intellectual property rights in the Services. These Terms grant you a limited, non-exclusive license to
access and use the Services for your internal business purposes. You may not reverse engineer, decompile, or create derivative works of the Services.
Feedback
If you provide feedback or suggestions, you grant EvalOps a perpetual, irrevocable, royalty-free license to use that feedback
for any purpose without obligation to you.
Disclaimers & limitation of liability
The Services are provided “as is.” EvalOps disclaims all warranties, express or implied. To the maximum extent permitted by law,
EvalOps will not be liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenues, or data.
Termination
Either party may terminate these Terms upon written notice if the other party materially breaches them and does not cure within thirty (30) days.
Upon termination, you must stop using the Services. We will delete or return Customer Data per the Privacy Policy and any applicable agreement.
Changes to these Terms
We may update these Terms from time to time. When we do, we will update the effective date below and, if changes are material,
notify impacted customers via email or the Services.
Governing law
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law rules. The parties consent to
exclusive jurisdiction and venue in the state and federal courts located in San Francisco County, California.
